Mr Wash Customer Referral Program Terms and Conditions

  1. Program Overview
    1. The Mr Wash Customer Referral Program (“Program“) is offered by the entities doing business as “Mr Wash Car Wash” (collectively, “Mr Wash“) to reward, in accordance with the terms set forth herein, existing Mr Wash customers for referring new Mr Wash customers to sign up for a monthly Mr Wash car wash subscription.
  1. Eligibility
    1. Only Existing Customers (as defined below) and New Customers (as defined below) can participate in the Program.
    2. For purposes of the Program, an “Existing Customer” is any individual that is a Mr Wash Unlimited Membership subscriber on a month to month (monthly) membership. Quarterly memberships and Annual memberships do not qualify for this program.
    3. For purposes of the Program, a “New Customer” is any individual that is not a Mr Wash Unlimited Membership subscriber and successfully registers and pays for a Mr Wash Unlimited Membership Month to Month (monthly) option using the unique referral link provided by an Existing Customer.
  1. Referral Credit; Accumulation; and Usage
    1. For the New Customer that an Existing Customer refers to Mr Wash, the Existing Customer will receive one (1) free month credit (each, a “Referral Credit”).
    2. For the New Customer, only one (1) Referral Credit will be issued by Mr Wash.
    3. Each Existing Customer can accumulate one Referral Credit through a successful referral of a New Customer.
    4. The Referral Credit will be automatically applied to the applicable Existing Customer’s account and such Existing Customer’s next monthly Unlimited Membership payment; provided, however, that, notwithstanding anything to the contrary, only one (1) Referral Credit can be used towards an Existing Customer’s monthly Unlimited Membership payment. The Existing Customer’s monthly Unlimited Membership account must be active at the time of the Referral Credit being applied.
    5. Referral Credit cannot be combined with other offers or discounts unless explicitly stated by Mr Wash.
    6. Any Referral Credit of an Existing Customer will be forfeited for no consideration upon the cancellation of such Existing Customer’s Mr Wash Unlimited Membership for any reason, including a cancellation by such Existing Customer or by Mr Wash.
    7. Referral Credit will expire if not used.
    8. Referral Credit has no cash value and cannot be transferred, redeemed or exchanged.
  1. Termination or Modification
    1. Mr Wash reserves the right to terminate or modify the Program at any time without prior notice.
    2. In the event of termination or modification of the Program, Mr Wash will honor referral credit earned prior to the effective date of termination or modification for one (1) month.
  1. Compliance
    1. Participation in the Program constitutes acceptance of these terms and conditions.
    2. Mr Wash reserves the right to disqualify any Mr Wash customer from participating in the Program if they violate these terms or engage in fraudulent or abusive behavior, as determined by Mr Wash in its sole discretion.

  1. Miscellaneous
    1. The terms set forth in Appendix A attached hereto are incorporated herein by reference.
    2. These terms and conditions shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions.

By participating in the Program, you acknowledge that you have read, understood, and agree to abide by these terms and conditions. Mr Wash reserves the right to interpret these terms and conditions and make decisions regarding the Program at its sole discretion.

Appendix A

Arbitration Agreement

  1. You and Mr Wash agree that any dispute, claim or controversy arising out of or relating in any way to the Program, these terms and conditions or this Section 7 (this “Arbitration Agreement”), shall be determined by binding arbitration. Arbitration is more informal than a lawsuit in court. Arbitration uses a neutral arbitrator instead of a judge or jury, allows for more limited discovery than in court, and is subject to very limited review by courts. Arbitrators can award the same damages and relief that a court can award and nothing in these terms and conditions shall be interpreted as limiting any non-waivable statutory rights. You agree that, by agreeing to these terms and conditions, the U.S. Federal Arbitration Act governs the interpretation and enforcement of this provision, and that you and Mr Wash are each waiving the right to a trial by jury or to participate in a class action. This arbitration provision shall survive termination of these terms and conditions and the termination of your Mr Wash Unlimited Membership.
  2. You and Mr Wash agree that any and all actions taken under this Arbitration Agreement and related provisions, including, but not limited to, all filings, orders, judgments, and awards made in any arbitration proceeding, are confidential and may not be disclosed to any third party, except as expressly agreed in writing by all parties or as otherwise may be required by law.
  3. Any arbitration will be governed by the Consumer Arbitration Rules (the “AAA Rules“) of the American Arbitration Association (“AAA“), as modified by this Arbitration Agreement, and will be administered by the AAA. The AAA Rules and Forms are available online at http://www.adr.org. The arbitrator is bound by the terms of this Arbitration Agreement. All issues are for the arbitrator to decide, including issues relating to the scope and enforceability of this Arbitration Agreement. Unless Mr Wash and you agree otherwise, any arbitration hearings will take place in Arlington, VA. The arbitrator’s award shall be final and binding on all parties, except (1) for judicial review expressly permitted by law or (2) if the arbitrator’s award includes an award of injunctive relief against a party, in which case that party shall have the right to seek judicial review of the injunctive relief in a court of competent jurisdiction that shall not be bound by the arbitrator’s application or conclusions of law.
  4. You and Mr Wash agree that you and Mr Wash, as applicable, must initiate arbitration within one (1) year after you or Mr Wash, as applicable, discovered or should have discovered the basis of the claim or dispute, unless applicable state or federal law expressly does not permit for the parties to shorten the length of a limitations or repose period or enforcement of this provision contradicts an applicable fundamental public policy; otherwise, the parties agree that such claim or dispute is permanently barred.
  5. YOU AND Mr Wash AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. Further, unless both you and Mr Wash agree otherwise, the arbitrator may not consolidate more than one person’s claims with your claims, and may not otherwise preside over any form of a representative or class proceeding. If this specific provision is found to be unenforceable, then the entirety of this arbitration provision shall be null and void.
